1. Acceptance of Terms

By accessing or using LogicDM ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, then you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. Your use of the Service constitutes your acceptance of and agreement to be bound by these Terms.

2. Description of Service

LogicDM provides automation tools and services for Instagram marketing and engagement. The Service includes features such as automated messaging, scheduled posts, analytics, and other related functionality. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

3. User Accounts

To access certain features of the Service, you must register for an account. When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with this section.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

• In any way that violates any applicable federal, state, local, or international law or regulation
• To transmit, or procure the sending of, any advertising or promotional material without our prior written consent
• To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
• In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful

5. Prohibited Use

You expressly agree not to:

• Use the Service to send spam, unsolicited messages, or engage in any form of harassment or abuse
• Use the Service to violate Instagram's Terms of Service or Community Guidelines
• Use automated systems (bots, scripts, etc.) in a manner that violates platform policies or applicable laws
• Attempt to gain unauthorized access to any portion of the Service or any other accounts, computer systems, or networks connected to the Service
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Use the Service to transmit any viruses, worms, defects, Trojan horses, or other items of a destructive nature
• Reverse engineer, decompile, or disassemble any portion of the Service
• Collect or harvest any personally identifiable information from the Service

Any violation of these prohibitions may result in immediate termination of your account and access to the Service, and may subject you to legal action.

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of LogicDM and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

7. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

We reserve the right to ban users who violate these Terms, engage in prohibited activities, or otherwise abuse the Service. Such bans may be permanent and may include blocking access from specific IP addresses or devices.

8. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, expressed or implied, and hereby disclaim and negate all other warranties, including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

9. Limitation of Liability

In no event shall LogicDM, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service.

10. Indemnification

You agree to defend, indemnify, and hold harmless LogicDM and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of your use and access of the Service, or a breach of these Terms.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

12. Payment & Billing

Our order process is conducted by our online reseller and Merchant of Record, Dodo Payments. Payment processing services for LogicDM are provided by Dodo Payments and are subject to the Dodo Payments Account Agreement, which includes the Dodo Payments Terms of Service. By agreeing to these terms or continuing to operate as a customer of LogicDM, you agree to be bound by the Dodo Services Agreement, as the same may be modified by Dodo Payments from time to time. As a condition of LogicDM enabling payment processing services through Dodo Payments, you agree to provide LogicDM accurate and complete information about you and your business, and you authorize LogicDM to share it and transaction information related to your use of the payment processing services provided by Dodo Payments.

13. Governing Law

These Terms shall be interpreted and governed by the laws of the jurisdiction in which LogicDM operates, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
